TERMS OF USE

These Terms of Use (“Terms”, “Agreement”) govern your access to and use of the Workugo website, platform, and mobile applications (collectively, the “Services”), operated by WorkUgo Ltd. (“Workugo,” “we,” “us,” “our”).

By creating an account, accessing the Services, or using any part of the platform, you agree to these Terms.

If you do not agree, do not use the Services.

1. DEFINITIONS

“Candidate” – An individual seeking employment, immigration support, or skill-matching opportunities through the Services.
“Employer” – A company or authorized representative using the Services to search, evaluate, or hire Candidates.
“RCIC” – A Regulated Canadian Immigration Consultant licensed by the College of Immigration and Citizenship Consultants (CICC), or a licensed immigration lawyer.
“Contribution” – Any information submitted by a User, including CVs, documents, messages, job postings, certifications, media, and profile data.
“Paid Services” – Any premium features, credentialing services, document preparation, LMIA support, or RCIC pass-through payment services available on Workugo.
“Platform Services” – Job matching, profile creation, document exchange, communication tools, verification features, credentialing services, and related software functionality.
“Applicable Law” – All laws governing the User or the Services, including UK law, UK GDPR, EU GDPR (if applicable), Canadian immigration law, provincial labour laws, UK consumer law, and any other relevant jurisdiction.

2. SCOPE OF THE SERVICES

2.1 Platform Provider.

Workugo is a technology platform providing:

Candidate and employer matching
Document and credential management
Tools to assist with hiring workflows
Optional integrations with RCICs
Optional premium services

Workugo is not:

An employer of Candidates
A representative of Employers
An immigration consultant
A legal advisor
A recruiter under Canadian recruitment licensing rules

Workugo does not guarantee:

Employment
Hiring outcomes
Visa or permit approvals
Immigration timelines

2.2 Marketplace for Independent Professionals.

RCICs, Employers, and Candidates engage with one another independently.

Workugo:

does not supervise RCICs
is not responsible for RCIC errors
is not liable for Employer conduct
does not validate the legality of job offers

2.3 No Legal, Immigration, or Professional Advice.

Workugo does not provide:

Legal advice
Immigration representation
Employer compliance services
Recruitment consulting
Labour market assessments
All immigration work must be performed exclusively by licensed RCICs or lawyers.

2.4. No Employment or Recruitment Agency Relationship.

For clarity, nothing in these Terms creates or shall be interpreted as creating an employment, agency, joint venture, partnership, or representative relationship between Workugo and any Candidate or Employer. Workugo is not the employer of any Candidate and does not act as an agent or representative of any Employer.

Workugo does not provide recruitment, worker placement, labour hire, solicitation, or recruitment agency services and is not a recruitment agency or labour intermediary under applicable laws, including provincial employment standards legislation in Canada. All employment-related decisions are made exclusively between Candidates and Employers.

2.5. Limited User Licence.

Workugo grants Users a limited, revocable, non-exclusive, non-transferable licence to access and use the Services solely for lawful purposes in accordance with these Terms. No rights, title, or interest in the Services or Workugo’s intellectual property are transferred to the User. Any use beyond the scope of this licence is strictly prohibited.

3. USER ELIGIBILITY

You may use the Services only if:

you are 18 years or older;
you have legal capacity to contract;
you are not barred from receiving employment or immigration services;
you are not located in a restricted jurisdiction.

Employers must ensure that:

the User creating the account is authorized to bind the Employer;
job postings comply with all applicable employment, labour, and immigration laws;
no discriminatory or unlawful criteria are used.

4. ACCOUNT REGISTRATION & SECURITY

Users must:

create only one account (unless authorized in writing);
provide accurate, complete, and up-to-date information;
maintain confidentiality of login credentials;
notify Workugo of unauthorized access;
not share accounts or impersonate others.

Workugo may:

suspend accounts for fraud, noncompliance, or security concerns;
request verification including identity, business registration, or authority checks.

5. FEES, PAYMENT TERMS

Workugo may offer free and paid services to Candidates and Employers.

5.1 Candidate-Facing Paid Services

Workugo may charge Candidates for:

Credentialing, skill verification, and document validation
Document preparation or review
Application assistance
Premium profile visibility or platform features
LMIA support services (where applicable and legal)
Other platform-paid features
Fees will always be disclosed before purchase.

5.2 RCIC Pass-Through Payments

Workugo may collect payments from Candidates or Employers on behalf of RCICs when:

RCIC has authorized Workugo in writing;
payment terms are disclosed;
Workugo acts solely as a payment processor, not a service provider.
The RCIC–User relationship is governed exclusively by a separate RCIC Retainer Agreement.

5.3 Employer Fees

Employers may pay:

Subscription fees
Sourcing or visibility fees
Placement or hiring fees
Document handling or verification fees
The fees applicable to each Employer will be disclosed in the Employer dashboard or applicable Order Form.

5.3(a) Subscription and Auto-Renewal Terms

Certain Employer services may be provided on a subscription basis. Unless otherwise stated, subscriptions automatically renew for successive terms equal to the initial subscription period.

Employers may cancel subscriptions at any time through the account dashboard. Cancellations take effect at the end of the current billing period, and no refunds are issued for partial periods unless required by law. Workugo will provide notice of price changes or material modifications as legally required.

5.4 Refunds

Refunds vary depending on the type of service purchased and will be governed by this section, our published Refund & Payment Policy, or any specific terms attached to the purchased service.

(a) Exam Prep and Subscriptions: For Red Seal Exam Prep, a 7-day "no-questions-asked" money-back guarantee applies strictly to your initial purchase or first monthly payment. Outside of this 7-day window, all fees, subscription renewals, and recurring charges are non-refundable.

(b) EU and UK Statutory Withdrawal Rights: If you are a consumer residing in the European Union, European Economic Area, or the United Kingdom, you have a statutory right to withdraw from this contract within 14 days without giving a reason. However, for immediate digital content and subscription services (such as our Exam Prep platform), you must explicitly agree at checkout to waive this statutory 14-day withdrawal right in exchange for immediate platform access and our global 7-day money-back guarantee. If you choose not to waive this right at checkout, your access to the platform will be legally delayed by 14 days to preserve your cooling-off period.

(c) Credentialing and Professional Services, including immigration: Immigration outcomes are never guaranteed and are entirely non-refundable. By purchasing professional services that begin immediately, including credentialing support, skill verification, document review, document preparation, or application assistance, you explicitly request early, immediate fulfillment of the service. You acknowledge and agree that your statutory 14-day right to cancel is completely lost once the service has been fully performed by our team.

5.5 Payment Processors

Payments may be processed by third parties (e.g., Stripe, PayPal, Payoneer, etc.).

Users must agree to their terms.

Workugo does not store full payment card details.

5.6 Third-Party Services

Certain Platform features rely on third-party providers, including payment processors, RCICs, credentialing partners, background-check vendors, and communication tools. Workugo does not control and is not responsible for the availability, accuracy, performance, or actions of third-party services. Your use of such third-party tools is governed by their own terms, and Workugo shall not be liable for any damages arising from third-party systems or failures.

5.7 Candidate Payment Limitations.

Workugo does not collect or process any payments on behalf of Candidates for personal immigration-related expenses, including but not limited to police clearance certificates, medical examinations, biometrics, passport fees, IELTS or language tests, educational credential assessments, or fees for accompanying family members. All such payments must be made directly by the Candidate to the appropriate third-party provider or government authority. Workugo may assist with scheduling or guidance but does not act as an intermediary, collector, or handler of Candidate funds.

6. ACCEPTABLE USE POLICY

Users may not:

upload fraudulent or altered documents;
misuse candidate or employer data;
bypass, scrape, or copy platform data;
impersonate others;
post discriminatory job requirements;
harass, abuse, or threaten others;
upload malware or attempt to breach security;
circumvent Workugo fees;
use the Services for unlawful employment schemes;
provide immigration advice without licensing;
misrepresent identity, credentials, or work authorization.

Violations may result in:

account termination
legal action
notification to authorities
loss of access to the Services
Monitoring and Compliance Review.
Workugo may, but is under no obligation to, monitor, review, or audit User activity, communications, or Contributions to improve safety, detect fraud, enforce compliance, or maintain platform integrity. Users remain solely responsible for their conduct and submitted materials. Workugo may remove content or restrict accounts at its discretion.

7. USER CONTENT & LICENSES

7.1 Ownership of User Content

You retain ownership of all information, documents, images, and other materials you upload (“Contributions”). This includes:

CVs, resumes, certificates
Passports, visas, IDs
Credentialing documents
Job descriptions
Messages and communications
Workugo does not claim ownership over your content.

7.2 License Granted to Workugo

By uploading or submitting content, you grant Workugo a worldwide, non-exclusive, royalty-free licence to:

store, process, and display your content;
transmit content to Employers, RCICs, or service providers as required;
analyze content for verification or fraud prevention;
use content to match Candidates and Employers;
use content to improve the Services.
This licence exists only for the purpose of operating the platform.

7.3 Candidate Consent to Share Data

Candidates expressly authorize Workugo to share their data with:

Employers to whom the Candidate applies or is matched;
RCICs selected by the Candidate or assigned by the Platform ;
Credentialing bodies and third-party verification services;
Payment processors;
Regulatory or governmental agencies where required by law.
This includes identity documents, employment history, immigration status, and other sensitive documents.

7.4 Candidate Consent for Sensitive Data.

By way of accepting this Terms, using the Services, Candidates provide explicit consent for Workugo to collect, process, store, and transfer special category and sensitive personal information, including but not limited to medical examination results, police clearance certificates, biometric identifiers, passport scans, and immigration records, for the purpose of job matching, immigration preparation, verification, and compliance. Candidate hereby further consent to the transfer of such information to:

RCICs or licensed immigration lawyers selected by the Candidate or assigned by the Platform;
Workugo’s internal operations and immigration support staff;
third-party verification partners;
governmental or regulatory authorities where legally required.
Withdrawal of such consent may limit or prevent Workugo or RCICs from providing Services.

7.4 Employer Use of Candidate Data

Employers agree:

to use Candidate data solely for recruitment purposes;
not to resell, scrape, or build external databases;
not to contact Candidates for unrelated or unlawful purposes;
not to retain Candidate data longer than legally allowed;
to comply with all privacy and data-protection laws.

Violation may result in:

fines
suspension of Employer access
legal action

8. CANDIDATE RESPONSIBILITIES

Candidates must:

submit truthful, accurate, and complete information;
not falsify documents, certificates, or IDs;
provide updated information when changes occur;
respond promptly to Employer or RCIC communications;
ensure they meet visa requirements before applying.

Providing fraudulent documents is grounds for:

immediate account termination
reporting to Employers and RCICs
potential reporting to authorities

9. EMPLOYER RESPONSIBILITIES

Employers must:

9.1 Post Accurate, Non-Discriminatory Job Requirements

Employers shall not:

use nationality, ethnicity, race, age, religion, or gender as selection criteria except where legally justified;
advertise illegal or unsafe working conditions;
misrepresent pay, duties, or working environment.

9.2 Compliance with Labour and Immigration Laws

Employers are solely responsible for:

verifying work authorization;
LMIA or visa requirements;
paying any legally required employer-side immigration costs;
ensuring workplace safety;
following provincial labour and recruitment statutes.

9.3 Prohibited Behaviors

Employers must not:

charge Candidates unlawful fees;
attempt to bypass Workugo fees by engaging Candidates off-platform;
collect unnecessary personal information;
harass or intimidate Candidates.

10. ANTI-DISCRIMINATION & FAIR SOURCING POLICY

Workugo is committed to fair and lawful recruitment.

10.1 Candidate Sourcing Regions

Workugo may focus recruitment efforts in specific global regions (e.g., Africa, Latin America) solely based on:

program availability (e.g., LMIA-exempt programs)
language skills
regional demand for skilled trades
This does not constitute discrimination.

Workugo does not exclude Candidates on the basis of:

race
colour
national origin
religion
gender
disability
age
Employers must comply with all anti-discrimination laws.
Workugo’s sourcing focus is based solely on objective program criteria, including availability of LMIA-exempt pathways, employer demand in specific skilled trades, language requirements, and regional labor market conditions. Any regional prioritization is not based on nationality, ethnicity, or any prohibited ground under applicable human rights or anti-discrimination laws. Candidates from all regions may apply and will be considered based on program availability, program eligibility and Employer needs.

11. BACKGROUND CHECKS AND VERIFICATION

Workugo may:

perform fraud screening;
validate document authenticity;
verify credentials when required;
request additional documents for compliance.

Employers are solely responsible for:

background checks;
reference verification;
trade certification equivalency requirements;
compliance with local employment and safety regulations.

12. RCIC RELATIONSHIPS & IMMIGRATION SERVICES

12.1 Independent RCICs

All immigration work is performed by independent licensed RCICs or lawyers, not by Workugo.

Workugo:

is not a representative under IRPR s.91
does not file immigration applications
does not guarantee visa outcomes
is not responsible for the RCIC work quality

12.2 RCIC Contracts

Candidates engaging an RCIC will sign a separate retainer agreement with the RCIC.

Workugo is not intended to be a party to that agreement.

12.3 Pass-Through Payments

As part of the hybrid model:

Workugo may collect fees on an RCIC’s behalf
Funds will be remitted to the RCIC
Workugo does not earn a commission unless disclosed
Workugo is not liable for refund disputes arising from RCIC services

12.4 Immigration Costs and Financial Responsibilities.

Workugo may cover Employer-side or program-related immigration costs where expressly stated, including certain government fees or third-party expenses required to support Employer compliance.

Candidates are solely responsible for all personal immigration expenses, including but not limited to medical examinations, police certificates, biometrics, language tests, passport renewals, educational credential assessments, travel costs, and government processing fees for accompanying family members.

(c) Any optional immigration services requested by the Candidate that extend beyond the scope of Employer-funded programs must be paid directly by the Candidate to IRCC or other authorized providers.

(d) Workugo does not guarantee that any immigration costs will be covered unless explicitly communicated in writing.

13. SERVICE AVAILABILITY, MODIFICATIONS & SUPPORT

Workugo may:

update, modify, or remove features at any time;
conduct maintenance causing temporary downtime;
suspend accounts for security or compliance reasons;
restrict access in certain jurisdictions if legally necessary.
There is no guaranteed uptime or guaranteed support SLA.

14. INTELLECTUAL PROPERTY RIGHTS

Workugo owns:

platform software
trademarks and logos
algorithms
interface designs
databases and compiled listings

Users may not:

copy, reproduce, or distribute platform content;
reverse engineer or scrape the platform;
misuse the Workugo name or brand;
create competing services using Workugo IP.

15. NON-CIRCUMVENTION

Employers agree not to bypass the platform.

15.1 Employer Circumvention

Employers must not:

hire a Candidate introduced by Workugo without paying the defined fees
attempt to contact Candidates off-platform to avoid charges
use affiliated companies to circumvent fees
Hiring a Candidate within 12 months of last interaction on the platform triggers the applicable Workugo fees.

15.2 Damages

Workugo may recover:

unpaid placement fees
legal and enforcement costs
administrative penalties

16. DISCLAIMERS

Workugo does not guarantee:

job placement
hiring decisions
immigration outcomes
credential recognition
timelines for RCIC or Employer actions

Workugo provides no:

legal advice
immigration advice
employment guarantees
representations about Employer conditions

17. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

17.1 No Liability for Employment or Immigration Outcomes

Workugo is not liable for:

any hiring decisions made by Employers;
visa, permit, or immigration refusals or delays;
RCIC advice, errors, or omissions;
workplace incidents or Employer misconduct;
loss of employment, opportunity, or income.

17.2 Platform Use Disclaimer

Workugo does not guarantee that:

the Services will operate uninterrupted;
documents uploaded by Users are authentic;
matching algorithms will identify suitable Candidates;
employers will respond to applications.

17.3 No Indirect Damages

Workugo is not liable for:

consequential or incidental damages;
loss of revenue or profits;
loss of data;
reputational harm;
business interruption;
punitive or exemplary damages.

17.4 Liability Cap

If any liability arises, Workugo’s total liability is limited to the greater of:

£100, or
the amount you paid Workugo in the last 6 months.

17.5 Exclusions

Nothing in these Terms limits liability for:

fraud;
intentional misconduct;
death or personal injury caused by negligence.

18. INDEMNIFICATION

Users agree to indemnify and hold harmless Workugo, its officers, employees, and contractors from any claims arising out of:

18.1 Candidate Indemnities

misuse of Employer or RCIC data;

falsification of documents;

misrepresentation of qualifications;

unlawful behavior.

18.2 Employer Indemnities

Employer shall indemnify, defend, and hold harmless Workugo, its affiliates, officers, agents, and employees from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:

Misuse of Candidate Data: Any unlawful collection, use, or disclosure of a Candidate's personal or sensitive data by the Employer, including but not limited to unauthorised storage, transfer, or sharing of CVs, passports, or immigration documents outside of the platform’s intended purpose.

Illegal recruitment practices, Employment & Labor Law Breaches: Any alleged violation by the Employer of any local, provincial, national, or international employment, labor, human rights, or immigration law in the jurisdiction where the Candidate is to be hired or work (e.g., Canadian Labour Standards, Provincial Employment Standards, or Human Rights Codes).

Hiring Disputes: Any disputes, claims, or termination proceedings initiated by a Candidate against the Employer.

non-payment of required Employer-side immigration costs;

Bypassing Workugo fees.

18.3 RCIC Indemnities

RCICs indemnify Workugo for:

immigration advice or representation;
errors in filings;
violations of CICC or IRCC regulations;
client disputes.
Workugo may assume control of defense where appropriate.

19. TERMINATION OF ACCESS

19.1 Termination by Workugo

We may suspend or terminate access without notice if:

a User violates these Terms;
fraudulent or unlawful activity is detected;
document falsification occurs;
fees are unpaid;
misuse of data is identified;
an Employer attempts circumvention.
Workugo may also delete accounts inactive for 24 months.

19.2 Termination by Users

Users may delete their account at any time by:

using account settings; or
emailing support@workugo.com.

19.3 Effect of Termination

Upon termination:

access to the platform is revoked;
stored data may be deleted or archived;
Employers remain responsible for outstanding fees;
Candidate applications may not be recoverable;
Workugo retains required data for legal compliance.

20. PRIVACY & DATA PROTECTION

20.1 Use of the Services is governed by the Workugo Privacy Policy, which forms part of these Terms.

20.2 Users agree that:

Workugo may process personal data as described in the Privacy Policy;

Workugo may transfer data internationally under lawful mechanisms;

Users must comply with their own legal obligations.

20.3 Data Controller and Processor Roles

Workugo acts as an independent Data Controller for personal data processed to operate, secure, and improve the Services, including account management, fraud prevention, analytics, and platform operations.

Employers and RCICs act as independent Data Controllers for any personal data they receive or process through the Platform and are fully responsible for compliance with applicable data protection laws.

Workugo may act as a Data Processor for certain credentialing, verification, or pass-through services performed strictly on documented instructions from Employers or RCICs.

Nothing in these Terms creates joint controllership between Workugo and any Employer or RCIC.

20.4 International Transfers

Workugo may process or store personal data in the UK, EU, Canada, and other jurisdictions using lawful transfer mechanisms, including adequacy decisions or Standard Contractual Clauses.

21. NO LEGAL, IMMIGRATION, OR EMPLOYMENT ADVICE

21.1 Workugo Is Not a Professional Adviser

Workugo does not provide:

legal advice;
immigration consulting;
employment law advice;
recruitment or placement guarantees.

21.2 No Client–Representative Relationship

Uploading documents or communicating through Workugo does not:

create a professional relationship;
create an immigration retainer;
make Workugo a representative before IRCC or any government body.
Only RCICs and lawyers retained separately may provide such services.

22. SERVICE MODIFICATIONS

Workugo may:

modify features;
discontinue services;
introduce new paid tiers;
restrict or expand geographic availability.
Users will be notified of material changes when required by law.

23. GOVERNING LAW

These Terms are governed by the laws of England and Wales, excluding conflict-of-law principles.

24. DISPUTE RESOLUTION — LCIA ARBITRATION

This clause replaces U.S.-style arbitration and is tailored to UK law.

24.1 Mandatory Arbitration

Any dispute, controversy, or claim arising out of or relating to:

these Terms;
the Services;
payments or fees;
User conduct;
shall be finally resolved by binding arbitration under the rules of the London Court of International Arbitration (LCIA).

24.2 Arbitration Rules

Seat of arbitration: London, United Kingdom

Governing law: England and Wales

Tribunal: one arbitrator, unless parties agree otherwise

Language: English

Costs: allocated by the arbitrator

24.3 Exceptions — Court Claims Allowed

Either party may bring claims in court for:

injunctive or equitable relief;
enforcement of arbitration awards;
intellectual property violations.

24.4 No Class Actions

Users agree that arbitration is:

individual only;
not consolidated;
not representative;
not class-based.

24.5 Time Limit

Claims must be filed within one (1) year of the event giving rise to the dispute.

25. MISCELLANEOUS

25.1 Entire Agreement

These Terms, Privacy Policy, and Cookie Notice constitute the entire agreement.

25.2 Assignment

Users may not transfer rights; Workugo may assign rights to affiliates or successors.

25.3 Severability

If any provision is invalid, the remainder stays in effect.

25.4 Waivers

Failure to enforce a provision is not a waiver.

25.5 Electronic Communications

Users consent to receiving notices electronically.

25.6 Force Majeure

Workugo is not liable for delays caused by:

natural disasters
war, terrorism
Internet outages
immigration office delays
labour disputes
pandemics
